What Is the Millrose Properties Class Action About?
Millrose Properties is a publicly traded company spun off from Lennar Corporation in February 2025. The Company described its business as a platform focused on land purchases, horizontal development, and homesite option purchase arrangements for Lennar and potentially other homebuilders and developers.
According to the complaint, defendants made materially false or misleading statements concerning Millrose’s business model, operations, and prospects. The lawsuit focuses on allegations that Millrose’s activities involving completed homes and rental properties differed from representations made to investors.
The complaint alleges that defendants failed to disclose that:
(1) Millrose’s business objectives were not limited to land purchases, horizontal development, and homesite option arrangements for homebuilders;
(2) despite prior representations, Millrose would enter into lease agreements and have tenants in its properties;
(3) Millrose would purchase approximately $200 million worth of completed homes from Lennar Corporation; and
(4) Millrose allegedly would rent the homes purchased from Lennar at a loss, rendering defendants’ positive statements about the Company’s business, operations, and prospects materially misleading or without a reasonable basis.
On October 2, 2026, Hunterbrook Media published a report alleging that Millrose had purchased an estimated $200 million of Lennar homes in approximately one month and was renting them at what appeared to be a loss. Millrose shares subsequently declined $2.10 per share, or approximately 8.5%, from a closing price of $24.61 on October 2, 2026 to $22.51 on October 5, 2026. These are allegations, not findings of liability.
